Maria Mulla successful in Oncoqr ML GMBH v TYG Oncology Ltd [2025] EWHC 1567 (Ch)

Maria Mulla successfully represented the Petitioner in the recent decision of Oncoqr ML GMBH v TYG Oncology Ltd, in which the Court granted a winding-up order on the ‘just and equitable’ ground pursuant to s. 122 (1) (g) of the Insolvency Act 1986.

The case involved a significant dispute regarding TYG Oncology Ltd a company formed in order to develop treatments for gastro-intestinal and pancreatic cancer.

The Court accepted that the Company was both in a state of functional deadlock, and that there had been a complete loss of trust and confidence amongst the members.

Serious allegations of criminal conduct and wrongdoing had been alleged which made the future running of the Company impossible.

The judgment also considered alleged breaches of fiduciary duty and whether this prevented the Petitioner from seeking the relief on the just and equitable ground. With reference to the applicable authorities, the Court found that there had been no such breaches and made the winding up order.
