Corporate Governance & Directors’ Duties

Maitland is a leading set providing litigation and advisory services in this area. It is and has for a number of years been recommended in Chambers UK Bar Guide and The Legal 500.

We handle a range of contentious and non-contentious matters, including:

  • company formation, operation and dissolution
  • share registration and ownership
  • company meetings
  • reductions or reorganisations of share capital
  • cross-border mergers
  • directors’ conduct and duties and disqualification proceedings (acting both for the Secretary of State and for respondents)
  • derivative and double derivative claims

We have appeared in some of the most significant recent cases in these areas, such as Sinclair v Versailles (Supreme Court decision on the consequences of benefits obtained by reason of a director’s breach of fiduciary duty), the Liverpool Football Club/RBS v Hicks litigation, disputes arising out of the failures of large financial institutions (e.g. Northern Rock, Lehman Brothers, Kaupthing) and disqualification proceedings in relation to the Farepak collapse.

These sorts of disputes regularly throw up complex issues involving a wide range of legal disciplines including insolvency, fraud, trusts and property rights.  Maitland is particularly well placed to provide this multi-specialism advice and representation at hearings.

Further, these cases often have an international element and we appear in proceedings in Cayman, the BVI, Gibraltar, the Channel Islands and other offshore jurisdictions.
